1. Acceptance of Terms
By accessing arclign.ai, submitting an enquiry, or engaging Arclign to provide services, you agree to be bound by these Terms of Service. These Terms apply to all visitors, users, and clients. If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind that entity. Arclign Ltd is registered in England and Wales.
2. Services Description
Arclign provides specialist Generative Engine Optimisation (GEO) services, including:
- AI citation audits and competitive benchmarking across major AI platforms
- Content strategy development for AI visibility and entity authority
- Technical schema implementation and structured data optimisation
- Third-party citation and community signal programmes
- Monthly reporting and citation rate tracking
- Strategic consultancy for AI search positioning
The specific scope of services will be defined in a separate Statement of Work (SOW) or service agreement. Important: We do not guarantee specific results, as AI search platforms operated by third parties (OpenAI, Anthropic, Google, Microsoft, Perplexity) change frequently and are outside our control. We commit to applying best-in-class methodologies and providing transparent reporting throughout every engagement.
3. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information about your brand, products, and target markets
- Grant reasonable access to website analytics, CMS, and required tools
- Review and approve content and recommendations within agreed timelines
- Not instruct creation of misleading, deceptive, or factually inaccurate content
- Comply with all applicable laws regarding marketing, advertising, and digital communications
You retain full responsibility for all decisions to implement or decline our recommendations.
4. Fees and Payment
- Monthly retainer fees are invoiced on the 1st of each month and due within 14 days
- Project-based fees are due per the milestone schedule in the relevant SOW
- Late payments (30+ days overdue) accrue interest at 8% above the Bank of England base rate
- All fees are exclusive of VAT, which is charged at the applicable rate
- Arclign may suspend services if invoices remain unpaid beyond 30 days without written agreement
5. Intellectual Property
- Client IP: remains client's property; Arclign is licensed to use it solely for service delivery
- Work product: upon full payment, Arclign assigns ownership of deliverables (written content, reports, strategy documents) to the client. Arclign retains all methodologies, frameworks, tools, and pre-existing IP
- Website content: all arclign.ai content (text, graphics, design) is Arclign property and cannot be reproduced without written permission
6. Confidentiality
Each party agrees to keep the other's non-public information confidential. Exceptions apply to: information that is publicly available (not through breach), was previously known, or is required to be disclosed by law. Arclign may reference a client's name and the nature of an engagement in marketing materials and case studies, unless the client requests otherwise in writing.
7. Limitation of Liability
- Aggregate cap: Arclign's total liability is capped at fees paid by the client in the three months preceding the claim
- Excluded losses: Arclign is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunity
- AI platform changes: Arclign is not liable for changes by third-party AI platforms that affect citation rates or results
- Nothing in these Terms limits liability for death or personal injury from negligence, fraud, or other non-excludable liability under UK law
8. Termination
Either party may terminate with 30 days' written notice. Upon termination:
- The client pays for services rendered up to the termination date
- Arclign delivers completed deliverables and transition materials within 14 days
- Confidentiality obligations survive for 2 years post-termination
Arclign may terminate immediately without notice if the client materially breaches these Terms or fails to pay after two written reminders.
9. Governing Law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt good-faith negotiation before initiating legal proceedings.
10. Changes to These Terms
Arclign reserves the right to update these Terms at any time. Material changes will be communicated by email to active clients at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.
